About the Role

The Finance (UCC) Paralegal is an integral part of Latham’s Legal Professional and Paralegal team. The role supports all phases of transactions by conducting lien and litigation searches and due diligence, preparing and coordinating UCC filings, reviewing transaction documents for UCC-related requirements, managing closing and post-closing matters, and collaborating with attorneys, clients, service providers, and other internal and external stakeholders to facilitate the timely and efficient execution of matters. This role will be located in our New York office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Obtaining, reviewing, and summarizing lien and litigation searches from various state and local jurisdictions 
  • Assisting attorneys and other paralegals with due diligence reviews
  • Preparing and filing UCC-1 financing statements, including collateral exhibits, and UCC-3 amendments, continuations, and terminations at the state and local levels in connection with various types of transactions, including secured transactions representing both borrowers and lenders
  • Ordering articles of organization and incorporation and corporate and tax certificates of good standing from vendors in appropriate jurisdictions; reviewing results and assisting with resolving issues, as needed
  • Reviewing finance and closing documents, including credit agreements, security agreements, pledge agreements, indentures, mortgages, and payoff documents, for UCC provisions, authority to file liens and terminations, and other UCC-related requirements
  • Coordinating with service companies regarding UCC filings and terminations required in connection with transaction closings
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains

And have:

  • A bachelor’s degree or equivalent
  • A paralegal certificate from an ABA-approved program or signed declaration if located in a California office
  • A minimum of four (4) years of law firm related experience as a paralegal
