About the Role

The Corporate Transaction Lawyer is an integral part of Latham’s Practice Services team. This role will be responsible for applying their knowledge and experience to provide high-quality, specialized support across the Latham platform, while performing due diligence by reviewing commercial contracts and other legal documents as part of corporate transactions to identify important provisions and terms. This role will be located in our Houston office.  Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

 

  • Preparing summaries of the results of the review of corporate documents, including change-of-control triggers, anti-assignment provisions, most-favored-nation clauses, and other contract-based red flags raised by the proposed transaction
  • Effectively interacting with associates, counsel, and partners to seek guidance on the terms and provisions that are relevant to a specific transaction, and to provide updates on legal analysis
  • Efficiently using office technology to complete required tasks, such as writing reports and other documents in Microsoft Word, creating and editing contract summaries, trackers, and other documents in Microsoft Excel, utilizing Asana for project management and collaboration, and leveraging Kira to identify contracts and provisions for due diligence and other tasks
  • Attending training sessions and team meetings with other Corporate Transaction Lawyers, and assisting with continual training of team and incoming team members
  • Maintaining all continuing legal education requirements
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains

  • Demonstrate the ability to work effectively both independently and in a team environment with a customer-service focus

And have:

 

  • A JD or an equivalent from a US ABA recognized law school, a qualifying law degree and legal practice course, or other Bachelor’s degree with a graduate diploma in law and legal practice course
  • Admitted as a solicitor in England and Wales and holding a current practicing certificate, or admitted to practice law in a relevant US state
  • A minimum of two (2) years of related experience at a law firm or with a reputable in-house team
  • Experience conducting due diligence in connection with M&A transactions, NDAs, and other corporate process, preferably
