About the Role

The Paralegal I is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for performing legal tasks and providing various administrative support to attorneys and other supervising paralegals, as well as preparing initial drafts, forms, and maintaining documentation for various business entities, including corporations and limited liability companies. This role will be located in our New York office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Organizing and maintaining minute books and other corporate records
  • Creating and maintaining Carta files (and other equity software program files)
  • Onboarding records for new clients, including organizing, reviewing, and summarizing all corporate and transactional documents and capitalization tables
  • Preparing drafts of minutes, consents, transfer documents, officer certificates, and related corporate documents
  • Assisting with all areas of financings (public and private), including preparing closing checklists, trackers, signature pages, and collecting and compiling final versions of all closing documents
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains 

We’d love to hear from you if you:

  • Exhibit proficient knowledge of applications typically used in a legal office environment, such as billing software and databases and internet searching skills
  • Possess knowledge of MS Office applications, specifically MS Word, MS Excel, and MS Outlook
  • Demonstrate well-developed and professional interpersonal skills, with the ability to interact effectively with people at all organizational levels of the firm

And have:

  • A bachelor’s degree
  • A signed declaration if located in a California office, or a paralegal certificate from an ABA-approved program, preferably
  • A minimum of one (1) year of related law firm experience, preferably as a paralegal
