About the Role

The Senior Paralegal – Corporate (ECG and Capital Markets) is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for managing a diverse portfolio of emerging company clients, including startups and venture-backed businesses, as well as liaising effectively with clients, investors, other stakeholders, internal teams, and third parties to efficiently deliver a top-tier work product. This role will be located in either our Silicon Valley or San Francisco office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Completing work promptly, with exceptional attention to detail while working in a fast-paced environment
  • Preparing and reviewing legal documents, including incorporation documents, investor agreements, and transaction/financing documents, ensuring accuracy and compliance
  • Assisting with all areas of transactional work, such as stock financings, by maintaining, researching, and analyzing corporate records and capitalization tables, transaction checklists, document and deliverable trackers, closing documents and certificates, and reviewing and finalizing closing documents for execution
  • Onboarding records for new clients, including organizing, reviewing, and summarizing all corporate and transactional documents and capitalization tables to ensure seamless integration
  • Creating, managing, and maintaining a variety of equity platforms such as Carta, Pulley, JPM, and Shareworks
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains 

 

We’d love to hear from you if you:

  • Demonstrate thorough knowledge of state corporation laws and federal and state securities laws and regulations
  • Possess intermediate to advanced skills in research involving federal, state, and local government agencies, regulatory agencies, and corporate service company websites
  • Display strong organizational and project management skills

 

And have:

  • A bachelor’s degree or equivalent
  • A signed declaration if located in a California office, or a paralegal certificate from an ABA-approved program, preferably
  • A minimum of six (6) years of related law firm experience as a paralegal
  • ECG and Capital Markets experience
