About the Role

The Senior Paralegal – Corporate (Investment Funds) is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for preparing and managing legal documents, coordinating transaction closings, managing client processes, and ensuring regulatory compliance with entities such as the SEC and CFTC, as well as organizing, preparing, and filing a variety of corporate legal documents for transactions, including articles of incorporation/organization, amendments, revivals, cancellations, state qualifications, consents, merger documents, initial drafts or certificates, and short-form closing deliverables. This role will be located in either our New York or Washington D.C. office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Preparing structure charts and tax forms/filings, such as EIN applications, IRS Form 8822-B, IRS Form 8832, and 83(b) mailings
  • Assisting with closings, including the preparation of signature pages and closing notices
  • Drafting and updating closing checklists and client process checklists
  • Intaking, reviewing, and maintaining a tracker for subscription agreements, including investor follow-up
  • Coordinating secondary transactions with multiple parties, including the submission of AML and KYC requests and coordination of client platform services
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains

  • Possess strong organizational and project management skills
  • Display excellent attention to detail
  • Demonstrate the ability to work independently and efficiently in a fast-paced environment

 

And have:

  • A bachelor’s degree or equivalent
  • A signed declaration if located in a California office, or a paralegal certificate from an ABA-approved program, preferably
  • A minimum of six (6) years of related law firm experience as a paralegal
