About the Role

The Paralegal II – Structured Finance is an integral part of Latham’s Legal Professional and Paralegal team. This role will be responsible for supporting the Structured Finance and Securitization practice group with a range of structured finance and securitization transactions including CLOs (the warehouse stage, new issuances (revolving and static), refinancings, reissues, and resets, as required) and other business securitizations and refinancings, while drafting, reviewing, tracking, and maintaining documents related to structured finance transactions. This role will be located in our New York office. Please note that this role may be eligible for a flexible working schedule that allows for a hybrid and in-office presence.

Responsibilities & Qualifications

Other key responsibilities include:

  • Assisting with the closing process (which includes creating execution version documents, compiling signatures, collecting condition precedents to closing and running closing searches for the legal opinions)
  • Maintaining files for various types of transactions
  • Assembling and distributing post-closing documentation
  • Preparing and finalizing notes and certificates
  • Preparing and assisting with SEC and other government filings
  • Assisting with registering securities with the DTCC including drafting Letters of Representation and appropriate Riders
  • Liasing with other counsel, clients, internal specialist teams and third parties
  • Using CLO databases to run comparisons of market terms and positions
  • Assisting with completing deal submissions in Knowledge Management 
  • Tagging and uploading transaction documents and industry standard forms into the document management and Knowledge Management database systems
  • Protecting and maintaining any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains 

We’d love to hear from you if you:

  • Possess strong organizational and project management skills
  • Exhibit excellent attention to deal
  • Demonstrate ability to work independently and efficiently in a fast-paced environment

And have:

  • A minimum of (4) years’ experience of related law firm experience as a paralegal, preferably
  • CLO paralegal experience, preferably
  • A bachelor’s degree or equivalent, preferably
